1. Scope and acceptance
This Agreement is between you and the operator of zhizao123 and applies to all access, registration, login, and use of the platform. Platform rules, notices, and lawfully published service-specific terms form part of this Agreement.
You must have the legal capacity required for your activities. If you register or act for a company, you confirm that you are duly authorized.
2. Account registration and security
You must provide accurate, complete, and current information. We may request identity or company verification where required by law or reasonably necessary for risk control.
- Protect your account, password, verification codes, and devices; do not rent, sell, lend, or transfer the account.
- Activity under your account is generally treated as your activity. Notify us promptly of unauthorized use, vulnerabilities, or data exposure.
- Do not register using another person’s identity, company name, qualifications, or contact details.
3. Platform services and role
The platform supports company and product profiles, supplier discovery, sourcing requests, inquiries, verification, industry information, and related technical services. Available features are those shown in the service.
Unless we expressly act as a party, the platform generally provides information and business-connection services only. Users remain responsible for quotations, orders, contracts, payment, delivery, acceptance, after-sales service, and tax. We remain responsible for duties imposed on the platform by applicable law.
4. Acceptable use and content
You are responsible for content submitted through your account and must own the relevant rights or have lawful authorization.
- Do not publish false, misleading, unlawful, infringing, fraudulent, unfairly competitive, or seriously offensive content.
- Do not upload malware, disrupt the service, bypass safeguards, scrape non-public data, or conduct unauthorized access or testing.
- Do not infringe intellectual property, trade secrets, personal information, reputation, or other lawful rights.
- Do not use the platform for prohibited, restricted, or unlicensed activities.
5. Company information and transactions
Business users must keep company profiles, specifications, capacity, certifications, quotations, and delivery information accurate and maintain required qualifications. A verification badge indicates review under stated rules only; it is not a guarantee of performance, quality, or outcome.
Buyers and suppliers should independently verify counterparties and use written contracts covering quality, price, delivery, acceptance, intellectual property, confidentiality, and disputes.
6. Intellectual property
Rights in platform software, interfaces, marks, layouts, database structures, and platform-created content belong to the operator or relevant owners. No copying, modification, reverse engineering, or off-platform commercial use is allowed without permission.
You retain rights in your content. To operate and improve the service, you grant us a non-exclusive, revocable, royalty-free license to use, reproduce, format, display, and transmit it within the service. Legal retention duties and reasonable backup cycles may continue after deletion or account closure.
7. Service changes and interruptions
We may change features for business, security, legal, or technical reasons and will make reasonable efforts to give advance notice of material impacts. We will reasonably work to restore interruptions caused by maintenance, networks, third parties, force majeure, or security incidents.
8. Enforcement
For violations of this Agreement, platform rules, or law, we may proportionately warn, request correction, restrict posting, remove or block content, suspend functions, or freeze or terminate accounts. We may preserve records, report to authorities, or assist investigations as legally required. Where practicable, we will explain the action and provide an appeal channel.
You are responsible under applicable law for losses caused by your unlawful or breaching conduct.
9. Allocation of responsibility
We use reasonable care to keep services secure and available, but do not guarantee the absolute accuracy of user content, counterparty performance, or a specific commercial result. No limitation applies to personal injury or property loss caused by our intent or gross negligence, or to liability that cannot lawfully be limited.
Exercise independent commercial judgment before transacting. User disputes may be negotiated directly, supported by records we may lawfully provide, or resolved through lawful administrative, arbitration, or judicial channels.
10. Updates and termination
We may update this Agreement for changes in law, features, or operations. Material changes will be announced through reasonable prominent means with a reasonable review period. Continued use after the effective date means acceptance; otherwise, stop using the service and request account closure.
Account closure does not affect rights and obligations already accrued or records that must be retained by law.
11. Governing law and disputes
This Agreement is governed by the laws of the People’s Republic of China. Disputes should first be resolved through good-faith consultation; otherwise, either party may bring proceedings before a court with lawful jurisdiction.
